The material facts of this case, as disclosed by the evidence, all of which was received without objection, are as follows:

On April 19, 1901, John Sherman, who was soliciting subscriptions to the stock of the Southern Trust & Deposit Company, the *811plaintiff below and in error, before the organization of the company, visited John C.
