This declaratory judgment action arises out of a longstanding business relationship that, once healthy, now lies infirm. Neop-harm Ltd. — and its wholly owned subsidiary Promedico Ltd. — is an Israeli pharmaceutical distributor that contracted to distribute medical products that defendant Wyeth-Ayerst International LLC manufactured.
