OPINION AND ORDER
PETTINE, Senior District Judge.
Plaintiff Taft-Peirce Manufacturing Company (“Taft-Peirce”) constructed a machine of unique specifications for defendant Seagate Technology, Incorporated (“Sea-gate”). This breach of contract action, here in federal court through diversity jurisdiction, centers on two basic issues. The Court must first resolve conflicting contentions as to what constituted the offer and acceptance; I then must rule on the enforceability of terms embodied therein.
