Action by Edward Spencer Hall against Herter Bros, for money alleged to be due on contract. The complaint was dismissed, and plaintiff moves for a new trial on exceptions ordered to be heard at general term in the first instance.

The plaintiff, in January, 1890, made a contract with the firm of Herter Bros., under which he claims there is over $3,0,00 due; and this sum he says Herter Bros., a corporation, is legally bound to pay. William Baumgarten and William G. Nichols were for a number of years prior to the month of January, 1891, partners doing business under.the firm name of Herter Bros. During that month, Baumgarten and Nichols promoted a corporation under the name of Herter Bros., joining with themselves, as incorporators, a brother of Baumgarten, Nichols’ father, and Arthur Norton, their salesman.
