This case arises out of the failed multi-billion dollar merger between the plaintiff and counterclaim defendant Consolidated Edison, Inc. (“Con Edison”) and the defendant — Northeast Utilities (“NU”). Pursuant to the Merger Agreement between the parties, Con Edison was to pay $8.6 billion for the outstanding shares of NU. 1 The merger did not proceed amid mutual recriminations.
