MEMORANDUM OPINION AND ORDER

ANN CLAIRE WILLIAMS, District Judge.

Plaintiff Yellow Cab Company (“Yellow Cab”! brought this lawsuit against the City of Chicago (“City”) and Caroline 0. Shoen-berger, Commissioner of the City’s Department of Consumer Services (“Commissioner”). In count I, Yellow Cab alleges common law breach of contract. In count II, Yellow Cab alleges impairment of contract in violation of Article I, § 10, Clause 1 of the U.S. Constitution.
