FLAUM, Circuit Judge.

In October of 1988, Aetna Casualty & Surety Company filed a declaratory judgment action against Chicago Insurance Company, seeking partial reimbursement of a wrongful death settlement. Chicago Insurance removed to federal court. The parties cross-moved for summary judgment, and the ease was submitted to a magistrate judge for a report and recommendation. On Decem ber 2, 1991, the district court entered judgment in favor of Chicago Insurance, rejecting the recommendation of the magistrate. 782 F.Supp. 71. Aetna appeals.
