ORDER
DOWD, District Judge.
Before the Court is the motion of plaintiff for class action certification and the motion of defendants for dismissal of this action. For the reasons stated below, the *481motion to dismiss is denied and the motion for class certification is granted.

This action was brought by plaintiff to bar the implementation of a stock option plan (Plan) benefiting William Ernst and Henry Fawcett, the principal executives of the Mohawk Rubber Company (Mohawk).
