This suit was first instituted by Myrtis Connerly Diehl, an individual, as a preferred stockholder in the Community General Hospital, Inc., a Tennessee corporation, on behalf of herself and other stockholders of the same class against the Community General Hospital, Inc. and its Board of Directors alleged *270to be twelve in number, and against David Ballon, as trustee under a certain deed of trust executed by the Board of Directors securing the payment of certain notes and conveying for that purpose the real estate belonging to the corporation.
