MEMORANDUM

MERHIGE, District Judge.

Material Handling Industries, Inc. (“Material” or “plaintiff”), a Virginia corporation with its principal place of business in Richmond, Virginia, brings this action against Eaton Corporation, an Ohio corporation, to recover damages for alleged breach of contract and asserted violations of the federal antitrust laws. Jurisdiction is conferred by 28 U.S.C. §§ 1332 and 1337.
