McGOHEY, District Judge.

This is an action for breach of contract. Eastern Electric, Inc. [Eastern] is a New York corporation. The See-burg Corporation [Seeburg] is a Delaware corporation. The amount in con troversy exceeds $10,000 exclusive of interest and costs. The court, to which the action was tried without a jury, has jurisdiction of the parties and subject matter. The findings and conclusions appear in the opinion. *

Pursuant to a written purchase agreement dated April 8, 1958, Eastern assigned to Seeburg’s predecessor, among other things, nine patents and two applications for patents…
