MEMORANDUM ORDER
VINCENT L. BRODERICK, District Judge.
Defendant Harry Winston, Inc. (“Winston”), a New York corporation engaged in the business of manufacturing and distributing high quality precious stones, with its principal place of business in New York, has moved pursuant to F.R. Civ.P. 12(b)(1) and 12(b)(6) 1 to dismiss the complaint for lack of subject matter jurisdiction and for failure to state a claim upon which relief can be granted. For the rea-' sons set forth below, the motion is denied.
