The petition alleged that defendants Kennelly, Byfield and Loeb, together with two others not served, were the voting trustees under a certain voting trust agreement, and that the same persons constituted the board of directors of the corporate defendant. It alleged that all of these persons, except Loeb, were officers of the corporation.
