MEMORANDUM DECISION
PETER W. BOWIE, Bankruptcy Judge.
The matter before the Court involves issues which are important to all who deal with Chapter 11 debtors, including trade creditors and professionals. In this ease, the debtor was unable to reorganize under Chapter 11, and the proceeding was converted to one under Chapter 7. This matter came on for hearing on the noticed motion of the Chapter 7 trustee for an order requiring disgorgement of fees and costs paid to the professionals who served in the pre-conversion Chapter 11 case.
