MEMORANDUM OPINION

PAUL L. FRIEDMAN, District Judge.

This matter is before the Court on defendant’s motion to dismiss or, in the alter native, for summary judgment. For the reasons discussed below, the motion to dismiss will be granted, and the motion for summary judgment will be denied as moot.

I. BACKGROUND
