This was an action by two stockholders of a corporation, on their own behalf and on behalf of “all other persons whose rights are similarly affected” to enjoin the officers of the corporation from distributing a declared dividend to certain classes of stockholders, and for a declaratory judgment determining a controversy as to the right of such stockholders to vote their stock.
