Appellant was convicted of conspiracy to violate the Corporate Securities Act (Deering’s General Laws, Act 3814, p. 1406) ; also on four counts charging substantive offenses in violation thereof. He has appealed from the judgment and order denying his motion for new trial.

The indictment in count one charges a conspiracy to violate said act by taking subscriptions in the state of California for shares of stock of the class A common capital stock of Doble Steam Motors Corporation, a Delaware corporation, without a permit so to do from the corporation commissioner of the state of California.…
