Penn Radio Cab, Inc., is a Pennsylvania corporation engaged in the taxicab business in Philadelphia. Fifty percent of the stock issued by the corporation is owned by Morris Slotsky and the remaining fifty per cent of such stock is owned by Jack Cellar and Kate Cellar, his wife. Dissidence arose among the shareholders, and on April 2, 1969, Slotsky filed a petition under the Business Corporation Law * requesting the Court of Common Pleas to appoint a custodian for the corporation.
