Plaintiff, Bill L. Tucker, appeals from a judgment in favor of defendants, John P. Ellbogen and Ellbogen-Tucker Interests (the partnership). We affirm in part, reverse in part, and remand for further proceedings.

In June of 1981, Tucker and Ellbogen formed the partnership with respect to certain oil and gas ventures. In November 1982, Ellbogen informed Tucker that effective December 31, 1982, the partnership would be dissolved and all partnership activities would cease.
