The facts in this case, as disclosed hy the complaint, are substantially as follows: The plaintiff Bed Biver Potato Growers Association is a corporation duly formed under the laws of the state, having been incorporated in February, 1913. The business of the corporation, as expressed in its articles of association, was to buy, sell and deal in potatoes. Subsequent to the incorporation of the company a board of nine directors was. chosen, and defendant Gary was made general manager of the business of the concern.
