ERVIN, Circuit Judge:
Walter T. Walker, III, appeals the jury verdict against him on his claim for violations of § 10(b) 1 of the Securities Exchange Act of 1934 and SEC rule 10b-5 2 based on , alleged material omissions in a tender offer statement and press release issued by Action Industries, Inc. (Action). Walker also appeals the district court’s directed verdict on his state law claim against certain directors of Action for breach of fiduciary duty, the court’s denial of his motion for class certification, various evidentiary rulings and allegedly prejudicial comments by the trial judge.…
