OPINION

MOTZ, Circuit Judge:

In this case we are again called upon to determine whether a company’s statements as to its business prospects constitute false statements or omissions of material fact actionable under the securities laws. Because we conclude that the statements at issue here *206neither misstated nor omitted material facts, we affirm the district court’s dismissal of the complaint.
