MEMORANDUM OPINION

This diversity case involves a claim by plaintiff, E & W Building Material Co., Inc. (E & W), and plaintiff intervenors, Charles and Sandra Starling (Starling) against defendant, American Savings & Loan Association of Brazoria County, Texas (American Savings), for declaratory judgment that the mortgage loan agreement entered into between Starling and American Savings’ assignor, First American Mortgage Co., Inc.
