Before the Court is a motion to dismiss (the “Motion”) [Docket No. 6] brought by McMahan Securities Co., L.P. (“McMa-han” or “Defendant”) seeking dismissal of the First Amended Complaint (the “Complaint”) [Docket No. 10] filed by Charys Liquidating Trust and C & B Liquidating Trust (together, the “Trusts” or “Plaintiffs”). The Complaint asserts three counts. Counts I and II seek avoidance of transferred monies on constructive fraudulent transfer theories pursuant to sections 548(a)(1)(B) and 544 of the Bankruptcy Code.
