MEMORANDUM OF DECISION ON DEFENDANTS’ MOTION TO DISMISS COMPLAINT
JULIAN, District Judge.
This case is before the Court on defendants’ motion to dismiss the complaint. Plaintiff, Francis R. Collins, invokes the jurisdiction of this Court under Section 22 of the Securities Act of 1933, 15 U.S.C. § 77v, and Section 27 of the Securities Exchange Act of 1934, 15 U.S.C. § 78aa.
