OPINION

JUNELL, Justice.

On motions for rehearing filed by both appellant and appellee, the court’s opinion issued on April 26, 1984, is withdrawn and the following opinion is substituted therefor.

This is a suit by appellee, Central Bank of Houston, to recover under a fidelity bond issued by appellant, Fidelity & Casualty Company of New York, for loan losses resulting from dishonest acts of appellee’s former president, Joseph P.
