Following in the procedural footsteps of the plaintiff in Donahue v. Rodd Electrotype Co., 367 Mass. 578, 579 n.4 (1975), the plaintiff Christopher Crowley prosecutes this action derivatively for the benefit of Communications for Hospitals, Inc. (the company), and directly for his own benefit as a stockholder of the company. The thrust of the action is the claim that the majority stockholders of the company, the defendants William G.
