SMITH, Chief Judge.

This matter is before the court on defendant’s Motion to Dismiss. The issue to be decided is whether plaintiff is a third party beneficiary to a settlement agreement between the Department of Housing and Urban Development and a court appointed receiver, such that plaintiff, a law firm, is entitled to attorney’s fees under the settlement agreement. Plaintiff seeks money damages and equitable relief.
