Before the Court is a motion by Foothill Mountain, Inc. (“Foothill”), and Stephen Lamstein (“Lamstein”) (collectively “Defendants”) to dismiss this adversary proceeding pursuant to Fed.R.Civ.P. 12(b)(1) and (6), or in the alternative to abstain under 28 U.S.C. § 1334(c) (“Dismissal Motion”).
