OPINION AND ORDER
STANTON, District Judge.
All defendants move to dismiss the complaint. Defendant First Constitution Bank also moves, as an alternative, for summary judgment.
BACKGROUND
According to the complaint 1 , Plaintiff Nicholas A. Attick, Jr. (“Attick”) is the presi dent of plaintiff Dana Investment Corporation (“Dana”) (Complaint ¶ 9).
