GOLDBERG, Circuit Judge:

In this appeal, we must determine whether the district court properly dismissed the appellants’ securities fraud claims against DSC Communications Corporation (“DSC”) and several other individual defendants. The district court dismissed the appellants’ claims without prejudice. 818 F.Supp. 971. The court first held that the appellants’ federal securities fraud claims failed to state a claim upon which relief could be granted because the complaint did not adequately allege scienter.
