Action in the district court for Hennepin county to recover $7,068.01 and for an accounting. Defendants’ demurrers to the complaint on the ground that several causes of action were improperly united and that the complaint did not state facts sufficient to constitute a cause of action, were overruled. The case was tried before Hale, J., who made findings and ordered judgment in favor of plaintiffs. From the order denying their motions for a new trial, defendants appealed.

On April 9, 1913, E. R. Teeple was doing business at Minneapolis under the name of Vulcan Process Company, and on that day sold to the -Lewistown Iron Works of Lewistown, Fergus county, Montana, a Vulcan welding apparatus and equipment and by the contract of sale, agreed “to protect the Lewistown Iron Works for the county of Fergus, Montana, on our apparatus that we shall sell him, and guarantee not to place any other apparatus in said county without their consent.” In June, 1913, defendant J ordan acquired a partnership interest in the business of the Vulcan Company.
