The First Amended Complaint (“the complaint”) in this cause seeks an accounting and compensatory relief from each defendant by virtue of the allegations in the complaint’s three counts. Count I arises under The Employee Retirement Income Security Act of 1974 (“ERISA” or “the Act”), 29 U.S.C. § 1001 et seq. The second count is brought pursuant to the anti-fraud provision of The Securities Exchange Act of 1934, 15 U.S.C. § 78a et seq.
