Pending before the Court is Defendants’ Motion for Summary Judgment (Dkt. 39), and Plaintiffs Motion for Summary Judgment (Dkt. 41). The Court conducted oral argument on May 31, 2011, and is now prepared to rule on the pending motions.

I. BACKGROUND
