MEMORANDUM OPINION

In this civil action, a franchisee and a corporation controlled by him have sued a franchisor, invoking the Court’s diversity jurisdiction. Plaintiff Osborne Allen Payne (“Payne”) has for many years been the owner and operator of four so-called “fast food” restaurants in the City of Baltimore, pursuant to franchise agreements with defendant McDonald’s Corporation (“McDonald’s”).
