The defendant, Edward S. Stokes, and one Cassius H. Eead, prior to the year 1891, were equal owners of $750,000, par value, of the stock issued by the hotel corporation known as “ The Hoffman House ” in the city of Hew York, which was divided into 2,500 shares of preferred stock and 5,000 shares of common stock. There was also issued $500,000 in-bonds, secured by mortgage on the corporate property, which were nearly all owned by the defendant, Edward S. Stokes, a few being held by Read.
