The facts constituting the plaintiff’s cause of action, as shown by the complaint, stated briefly, are substantially as follows:
The Dorsey Machine Company was organized on Oc*547tober 14, 1879, with a capital stock of $60,000, for the purpose of manufacturing and selling reapers and other agricultural implements, and, on October 17, 1881, the stock of the company was increased to $125,000, up to which time the business of the company had not been, prosperous, successful or remunerative; but, on the contrary, the company had sustained serious loss, and was, at that time, actually insolvent and…
