KIDWELL, Justice.

Philip Lamprecht (Lamprecht) sued Jordan, L.L.C. (Jordan) after his membership in Jordan was terminated. Lamprecht sought: (1) a declaratory judgment stating that Jordan must pay him fair market value for his membership in Jordan rather than just the amount in his capital account; and (2) damages in the amount that Jordan was unjustly enriched by paying him the balance of his capital account in Jordan rather than fair market value for his interest when he was terminated.
