OPINION
WALLS, District Judge.
Defendants Jay Carter and Michelle Hayes-Bullock move separately to dismiss certain claims in the Complaint. The Court will address all of these motions in this opinion.
FACTS AND PROCEDURAL BACKGROUND
The Complaint alleges the following: Lucent Technologies Inc. (“Lucent”) fraudulently and improperly recognized revenue and pre-tax income in violation of generally accepted accounting principles (“GAAP”) during its fiscal year 2000.
