This is an action involving a contractual dispute relating to the purchase and redevelopment of commercial property. After a bench trial, the lower court found in favor of defendant, counter-claimant, and third-party plaintiff Kapiolani Plaza, Limited (Kapiolani) and fourth-party defendant Edward M.
