MEMORANDUM OPINION
BURCIAGA, District Judge.
Plaintiffs bring claims under the Securities Act of 1933, 15 U.S.C. § 77q(a) et seq., the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), Securities Exchange Commission Rule 10b-5, 17 C.F.R. § 240.10b-5, and the Securities Act of New Mexico, § 58-13-1 et seq. NMSA 1978, as well as a count for common law fraud. The case having come on for a trial to the bench on October 27, 28 and 29, 1986, the following will constitute the Court’s findings of fact and conclusions of law.
