Appellee Profile Technologies, Inc. (Profile) brought a declaratory judgment action against Appellants SMI/USA, Inc. and two of its subsidiaries, Enrichment Resources, Inc. (Enrichment) and Leadership Management, Inc.(Leadership), requesting that the court construe certain distribution agreements and declare such agreements terminated.1 Profile also asserted claims against Enrichment and Leadership for breach of the agreements, as well as a claim against all the Appellants for breach of an implied covenant of good faith and fair dealing.
