FARNAN, District Judge.

Before the Court is Defendant Royal Indemnity Company’s Motion to Dismiss Or, In The Alternative, For Stay Pending Disposition of Prior-Filed Action (D.I.5). For the reasons discussed below, the Motion will be denied.

BACKGROUND

This breach of contract case involves eight insurance policies issued by Defendant Royal Indemnity Company (“Royal”) in connection with several thousand student loan transactions purchased by Student Finance Corporation (“SFC”).
