Rio Grande Pipeline Company (“Rio Grande”) purchased 194 miles of an existing refined products pipeline from the Na vajo Pipeline Company (“Navajo”) to deliver natural gas liquids (“NGLs”) from the United States to Mexico. In exchange for the pipeline, Rio Grande paid Navajo an agreed sum of money and granted Navajo Southern, Inc., a wholly owned subsidiary of Navajo, a minority interest in Rio Grande.
