*495Plaintiff, US Express Leasing, Inc. (USXL), is a leasing and financing company that provides financing for equipment dealers, vendors and their customers. Defendant, Elite Technology, Inc. (Elite), sells business equipment such as copiers, shredders and scanners, and arranges for the leasing, rental and financing of such equipment. Defendant Michael Pavone is an officer and representative of Elite who dealt with USXL on Elite’s behalf.
