JOHN V. PARKER, Chief Judge.

The plaintiffs in this matter are the owners and lessors of certain property in the Acadian Village Shopping Center in Baton Rouge, Louisiana. All plaintiffs are citizens of the state of Louisiana. Defendant, F.W. Woolworth Company, is the lessee of the property and is a corporation organized under the laws of the state of New York. The plaintiffs have brought this action, seeking a declaration as to their rights under the lease, and the defendant has counter-claimed to obtain a declaration of its rights under the lease. The…
