This case comes to us upon certified questions. The certificate is as follows:

“The suit was brought by one L. H. Manning, who alleged that he was the owner of half the issued shares of the capital stock of the Ocean View Hotel Company, a corporation chartered on December 3, 1889, under the laws of Texas, for the sole purpose of establishing and maintaining a hotel or hotels in Aransas County, Texas. That on the day the charter was filed, the directors held a meeting and elected James C. Fulton president of the board, and at the same meeting authorized the purchase of…
