Plaintiff (“Selas”) brought this action against several corporate and individual defendants who allegedly participated in an unlawful plan to take control of Selas by acquiring ownership or control of more than 5% of the outstanding Selas shares without filing disclosure statements as required by the Williams Act amendments to the Securities Exchange Act of 1934, as amended, 15 U.
