This is an appeal from a district court’s grant of a preliminary injunction sought by the Securities and Exchange Commission (SEC or Commission) enjoining the defendants from offering or selling various types of investments, including units in an “escrow account,” trust accounts, and interests in joint ventures. The SEC charged that the investments involved were investment contracts and as such were securities, and that the defendants were selling them in violation of registration and antifraud provisions of the federal securities laws.
