HATHAWAY, Chief Judge.
The plaintiff, Henry Kaldenbaugh, filed a stockholder’s derivative action on behalf of Arizona Moving and Storage Company, an Arizona corporation. The plaintiff sought damages for excessive salaries and expense accounts paid the defendant, John E. Nordin, Jr. and his wife Barbara G. Nordin; injunctions to prohibit the Nordins from drawing salaries and expenses in excess of a reasonable amount to be set by the court; and, nullification of a stock issue to the defendant Nordin.
